Agreement and website purpose
These Terms of Service govern access to the Heru Loop company website. By using the website, you agree to these terms. If you do not agree, do not use it.
The website presents Heru Loop's professional services and supports general enquiries. It is not a self-service SaaS platform, online marketplace, or binding offer to deliver a project.
Services and separate agreements
Heru Loop provides services such as product strategy, prototyping, UI/UX, software engineering, AI integration, technical consulting, modernisation, maintenance, and support.
Any actual engagement is governed by the signed proposal, master services agreement, statement of work, order form, or other written agreement applicable to that engagement. Those signed documents control if they conflict with these website terms.
Proposals, fees, and changes
Website descriptions, estimates, and timelines are informational. Final scope, team, fees, deposits, milestones, deliverables, acceptance criteria, expenses, change requests, and payment dates are confirmed in the applicable written agreement. A project is not reserved or started merely by submitting an enquiry.
Intellectual property
Heru Loop retains ownership of this website, brand assets, methods, templates, know-how, and pre-existing materials. You may not copy, republish, reverse engineer, or commercially exploit website content without written permission.
Ownership and licensing of project deliverables, source code, third-party materials, client materials, reusable tools, and background technology are determined by the signed client agreement. No project intellectual-property transfer is created by this website.
Confidentiality and submissions
Do not send highly sensitive credentials, production secrets, regulated data, or confidential source code through a general website form. Information shared for an engagement is handled under the applicable confidentiality terms. A website enquiry alone does not create an attorney-client, fiduciary, employment, partnership, or exclusive relationship.
Third-party services and links
The website may link to or use third-party services such as Calendly, Google Meet, LinkedIn, hosting providers, or future payment providers. We do not control their availability, security, content, or terms. Your use of those services may be governed by separate agreements.
Acceptable use
You must not misuse the website, attempt unauthorised access, interfere with its operation, introduce malicious code, scrape it in a harmful or unlawful manner, impersonate another person, violate intellectual-property or privacy rights, or use it to facilitate unlawful activity.
Disclaimers
The website is provided on an "as available" basis for general information. To the extent permitted by law, Heru Loop disclaims implied warranties relating to the website. We do not promise uninterrupted availability, error-free content, specific business results, search rankings, funding, sales, or a particular project outcome.
Limitation of liability and indemnification
To the extent permitted by applicable law, Heru Loop will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss arising from use of the public website. Any liability connected to paid services is governed by the applicable signed agreement.
You agree to be responsible for claims arising from your unlawful misuse of the website or violation of these terms, to the extent permitted by law.
Governing law
The governing law, venue, and any dispute-resolution process are specified in the applicable signed agreement. Client agreements may set different terms according to the engagement and applicable law.
Changes and contact
We may update these terms by publishing a revised version with a new date. Questions may be sent to contact@heruloop.com.
